This Privacy Policy describes how ABV Dynamics, Inc. ("Company," "we," "us," or "our") collects, uses, shares, and protects information when you use the SmartFlow platform and related services ("Services"). By creating an account or using the Services, you agree to this Privacy Policy. If you do not agree, do not use the Services.
1. INFORMATION WE COLLECT
1.1 Information You Provide
- Account information: name, email address, company name, job title, billing details.
- User Content: inventory records, operational data, files, and other inputs you upload to the Services.
1.2 Information We Collect Automatically
- Usage data: pages visited, features used, session duration, click behavior.
- Device and technical data: IP address, browser type, operating system, device identifiers.
- Log data: error reports, access timestamps, and API call records.
1.3 Information from Third Parties
We may receive information about you from third-party integrations you authorize (e.g., ERP systems, accounting tools). You are responsible for ensuring you have the right to share such data with us.
2. HOW WE USE YOUR INFORMATION
We use the information we collect to:
- Provide, operate, and improve the Services.
- Process transactions and manage your account.
- Send service-related communications (onboarding, security, password reset, billing, alerts, and other transactional or service-critical messages).
- Send marketing or promotional communications when you have provided optional consent, as described in Section 2.1.
- Respond to support requests.
- Detect and prevent fraud, abuse, and security incidents.
- Comply with legal obligations.
- Generate Aggregated Data for commercial and research purposes (see Section 4).
2.1 Marketing and Promotional Communications
You may optionally consent to receive marketing or promotional communications, such as product updates, company news, educational material, helpful resources, and promotions. This consent is separate from creating an account and from accepting this Privacy Policy and the Terms of Service. We use account and contact information for these communications only when your account records show active marketing consent.
You may withdraw marketing consent or unsubscribe at any time through your account settings or an unsubscribe mechanism in a marketing email. Withdrawing marketing consent does not prevent necessary transactional or service communications, including account security, password reset, billing, and other messages you request or that are required to operate the Services.
We may retain communication preferences and consent records as reasonably necessary to honor opt-outs, maintain records, and satisfy applicable obligations.
3. LEGAL BASIS FOR PROCESSING (where applicable)
Where required by law, we process your personal data on one or more of the following bases:
- Performance of a contract (operating your account and delivering the Services).
- Legitimate business interests (improving our products, preventing fraud).
- Legal compliance.
- Your consent, where obtained.
4. AGGREGATED DATA: COLLECTION, OWNERSHIP, AND SALE
4.1 What Is Aggregated Data
Aggregated Data is data derived from User Content and usage patterns that has been de-identified, anonymized, statistically combined, or otherwise transformed so that it cannot reasonably be used to identify you or any individual. Examples include industry-level inventory benchmarks, demand trend models, and platform performance statistics.
4.2 Ownership
The Company has full and exclusive ownership of all Aggregated Data. Aggregated Data is not your personal information and is not subject to deletion or access requests.
4.3 Commercial Use
We may use Aggregated Data to:
- Develop, train, and improve our products and algorithms.
- License, sell, or distribute insights to third parties, including industry partners, investors, and research organizations.
- Publish or share findings for commercial or research purposes.
By using the Services, you expressly consent to this use. You will not receive compensation for any commercial use of Aggregated Data derived from your User Content.
5. HOW WE SHARE YOUR INFORMATION
We do not sell your personal information. We may share your personal information only in the following circumstances:
5.1 Service Providers
We share data with trusted vendors who assist in operating the Services (cloud hosting, payment processors, analytics providers, and email-delivery or related service providers) under confidentiality obligations. These providers may process relevant contact information on our behalf.
5.2 Legal Compliance
We may disclose information if required by law, court order, or government authority, or to protect the rights, property, or safety of the Company or others.
5.3 Business Transfers
If the Company is involved in a merger, acquisition, financing, or sale of assets, your information may be transferred as part of that transaction. We will notify you via email or a prominent notice on the Services prior to any such transfer.
5.4 With Your Consent
We may share information for other purposes with your explicit consent.
6. DATA RETENTION
We retain your personal information for as long as your account is active or as needed to provide the Services, resolve disputes, and comply with legal obligations. Upon account deletion, we will delete or anonymize your personal information within a reasonable period, except where retention is required by law.
Communication preferences and consent records may be retained as reasonably necessary to honor opt-outs, maintain records, and satisfy applicable obligations.
Aggregated Data is retained indefinitely as it does not constitute personal information.
7. DATA SECURITY
We implement commercially reasonable technical and organizational measures to protect your information from unauthorized access, loss, or disclosure. However, no method of transmission or storage is 100% secure. WE DO NOT GUARANTEE THE SECURITY OF YOUR DATA. You use the Services at your own risk and are responsible for safeguarding your account credentials.
8. YOUR RIGHTS AND CHOICES
Depending on your location, you may have the right to:
- Access the personal information we hold about you.
- Correct inaccurate information.
- Request deletion of your personal information (subject to legal retention requirements).
- Opt out of marketing or promotional communications, and withdraw marketing consent, at any time.
- Opt out of certain other communications.
Withdrawing marketing consent does not stop necessary transactional or service communications. To exercise any of these rights, contact us at jr@smartflowinventory.com. We will respond within a reasonable timeframe. Note that these rights do not apply to Aggregated Data, which is owned by the Company.
9. COOKIES AND TRACKING
We use cookies and similar technologies to operate the Services, remember your preferences, and analyze usage. You may disable cookies through your browser settings, but doing so may affect functionality. We do not currently respond to Do Not Track signals.
10. THIRD-PARTY LINKS AND INTEGRATIONS
The Services may contain links to or integrations with third-party platforms. This Privacy Policy does not apply to those third parties. We are not responsible for their privacy practices and encourage you to review their policies independently.
11. CHILDREN'S PRIVACY
The Services are not directed to individuals under 18 years of age. We do not knowingly collect personal information from minors. If we become aware that a minor has provided personal information, we will delete it promptly.
12. INTERNATIONAL USERS
The Services are operated from the United States. If you access the Services from outside the United States, your information will be transferred to and processed in the United States. By using the Services, you consent to this transfer. We make no representation that the Services comply with the laws of any jurisdiction outside the United States.
13. CHANGES TO THIS POLICY
We may update this Privacy Policy at any time. We will post the revised version with an updated date. Your continued use of the Services after any update constitutes acceptance of the revised policy. For material changes, we will make reasonable efforts to notify you by email or in-app notice.
